Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree that any legal action or proceeding relating to these Terms and Conditions shall be instituted exclusively in the courts located in Hyderabad, Telangana, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms and Conditions or your use of our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If such negotiations do not result in a resolution within thirty days, either party may pursue resolution through the appropriate courts in Hyderabad, Telangana, as specified above.

No waiver by Kernshift of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these terms shall not constitute a waiver of such right or provision.

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these terms. The remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published by us on our website, constitute the entire agreement between you and Kernshift regarding your use of our services. These terms supersede and replace any prior agreements or understandings, whether written or oral, regarding the subject matter herein.

Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these terms without such consent will be null and void. We may freely assign or transfer these terms without restriction. Subject to the foregoing, these terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
